Terms and Conditions of Platform Use

The following Terms and Conditions of Platform Use (“Platform Terms” or “Terms of Use”) govern your access to and use of NGL’s online learning platform, website, and related services (collectively, the “Platform” or “Service”). These Platform Terms form a legal agreement between NGL, a South-African registered company (2025 / 841799 / 07) and any person or entity (“User” or “you”) who visits, accesses, or uses the Platform. If you are enrolled in an NGL course, these terms apply to your use of the platform in addition to the Terms of Sale above. If you are not enrolled and are just browsing our site, certain provisions (like those regarding user accounts or course content) may not apply, but by using any part of our website or platform you agree to these Terms of Use.

Please read these terms carefully. If you do not agree, you should not use the Platform. By accessing or using the NGL Platform, you confirm that you are at least 18 years old (or the age of legal majority in your location) or, if not, that you have reviewed these terms with your parent or guardian and obtained their consent. You also agree to abide by all applicable laws and regulations in connection with your use.

1. User Accounts and Security

Registration: While some parts of our website can be viewed without an account, accessing the full learning Platform (enrolling in courses, viewing course materials, participating in discussions, using the AI Tutor, etc.) requires that you register for an NGL account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You must not impersonate anyone or use false details – use your real name and contact information, as this may be used for official records like your course certificate. NGL may refuse or revoke a username that impersonates someone else, is inappropriate, or violates any trademark.

Account Security: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your username or password with anyone else. You must notify NGL immediately at our support contact if you suspect any unauthorised access to or use of your account. We recommend using a strong, unique password and changing it periodically to protect your account. NGL will not be liable for any loss or damage arising from your failure to secure your account. You are responsible for all activities that occur under your account (unless demonstrably due to NGL’s own security breach). We may require multi-factor authentication for added security in some cases; you agree to cooperate with such measures.

Use of Account: Your account is personal to you. You may not transfer your account to any other person or use anyone else’s account. You agree not to sell, license, or otherwise transfer the access to your account or any course to another party. NGL, in its sole discretion, may terminate or suspend your account if we detect activity that suggests you have shared your account or violated these Terms.

Profile and Communications: As a user, you may have a profile on the Platform visible to other course participants (this typically includes your name and any other info you choose to share). Please use the settings to control what is visible. You consent to receive communications from NGL electronically (e.g., via the Platform or email) as part of the service. For example, the platform may send you notifications about course updates, messages from instructors, or system alerts. You can adjust some notification preferences in your account settings, but certain administrative or legal notices may still be sent via email.

2. License to Use the Platform

Ownership: Except for User Content (defined below) provided by you and other users, all content and materials on the NGL Platform are owned by or licensed to NGL and are protected by intellectual property laws. This includes the overall Platform design, text, graphics, logos, button icons, images, videos, course materials, software code (including the AI Tutor’s software), and trademarks/service marks. NGL and its partners retain all rights, title, and interest in the Platform and content, including all intellectual property rights. Nothing in these Terms transfers any ownership of such rights to you.

Your Right to Use: Subject to your compliance with these Terms, NGL grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform and the content available on it for your personal, non-commercial educational purposes only. This allows you, for example, to view course lessons, participate in forums, and use the AI Tutor for learning. You may download or print materials from the Platform only if explicitly enabled by the Platform’s interface (such as downloadable PDFs or permitted video downloads), and solely for your personal reference. You must not remove any copyright, watermark, or other proprietary notices from materials you download or print.

Forbidden Uses of Content: Any use of the Platform or its content beyond the authorised access granted is prohibited. You agree that you will not, and will not assist or enable others to: (a) copy, modify, distribute, or create derivative works of the Platform content (except as expressly permitted); (b) publicly display, publicly perform, or broadcast any part of the Platform content without permission; (c) use any content for commercial purposes (e.g., teaching others, as material in a workshop, etc.) without a license from NGL; (d) reverse-engineer, decompile, or attempt to extract the source code of the Platform’s software, except to the extent such acts are expressly permitted by law notwithstanding this limitation; (e) circumvent any technical measures we have in place to protect content (such as digital rights management or watermarking); or (f) use screenshots, video captures, or automated scripts to scrape or download content that is not provided for download.

Third-Party Content: Some courses may include content provided by our university partners or other third parties. Such content may be subject to additional terms as specified within the course (for example, an e-book or case study may have its own licensing terms). You agree to comply with any such third-party terms of use when they are disclosed. NGL is not responsible for content provided by third parties but we have rights from the providers to include it on our Platform. If you believe any content on the Platform infringes your copyright or other rights, please contact us with details; we have procedures (including DMCA compliance for U.S. content) to remove infringing material.

Trademarks: “NGL”, our logo, and all NGL course and brand names are trademarks of Next Gen Learning Pty Ltd. University names and logos are trademarks or registered trademarks of those institutions. You are not granted any right or license to use any trademarks displayed on the Platform except as needed for course participation (such as identifying the university in discussions about the course). You must not use NGL’s or any partner’s marks in a way that confuses others as to your affiliation or that of any content, or that harms or dilutes the marks.

3. User Content and Interactive Features

User Content: The Platform may allow you and other users to create, post, or share content, such as discussion forum posts, chat messages, project submissions, profiles, feedback, etc. (“User Content”). You retain any ownership rights you have in the content that you post. However, by posting or submitting User Content on the Platform, you give NGL and our partners a permission (a limited license) to use, host, reproduce, modify (e.g., reformat or excerpt), display, and distribute your User Content as needed to provide the Service. For example, we may display your question to instructors so they can respond, or show your insightful post to future cohorts as reference. This license is non-exclusive (you can re-use your own content for other purposes), royalty-free (no compensation to you), worldwide, and sub-licensable solely for the purpose of operating or improving our services. We will not sell your content to third parties, but do note that content you post in course forums or chats may be visible to other participants.

Privacy of User Content: Please be mindful that any personal information or content you share in public or group areas of the Platform (like forums or class chats) may be seen by other participants. We expect users to respect the confidentiality of what is shared within a course, but we cannot guarantee that other participants will do so. Thus, do not post highly sensitive personal information. NGL is not responsible for what other users do with content you have made public or shared with them. For details on how we handle personal data, see our Privacy Policy (and the Personal Data section in the Terms of Sale above).

Prohibited Content: You agree not to post any User Content that: (i) infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party; (ii) violates anyone’s privacy or data protection rights; (iii) is defamatory, obscene, pornographic, abusive, harassing, hateful, or unlawful, or that could be deemed highly offensive to an average person; (iv) misrepresents your identity or affiliation, or is fraudulent or knowingly false; or (v) contains any advertising or solicitation for business (unless expressly allowed, such as a forum area for networking that permits sharing LinkedIn profiles). Essentially, your contributions should be relevant to the learning context, respectful, and legal. You are solely responsible for the content you post and the consequences of sharing it. By posting content, you represent that you have the necessary rights to do so and that it complies with these standards and all laws. NGL does not routinely pre-screen user posts, but we reserve the right to monitor, edit, or remove any User Content at our discretion if we believe it violates these terms or applicable law. Repeated violation may lead to further action against your account.

Interactions with Others: The Platform’s collaborative features (forums, group projects, messaging, etc.) are intended to create a rich learning community. Please interact with others in a professional and respectful manner. Harassment, bullying, or discrimination will not be tolerated. This includes offensive comments related to race, gender, religion, sexual orientation, etc., or personal attacks. If you disagree with someone, critique the idea, not the person. Do not spam or advertise to other users. Any communications you have with instructors, support staff, or fellow learners should remain courteous. NGL may warn or remove users who do not follow proper etiquette or who disrupt the learning environment.

Live Sessions and Recordings: During live webinars, virtual workshops, or group video calls, please note that these sessions may be recorded for the benefit of participants (for replay) and for NGL’s quality assurance. By participating in a live session (speaking, using chat, or enabling your video), you consent to such recording. If you do not wish to be recorded, you may choose to mute your microphone. Recordings will typically be made available to course participants and relevant staff, and will be used solely for educational purposes or internal review. NGL will not share recordings publicly without appropriate consent. You agree not to separately record or distribute any live session without authorisation.

Feedback: We welcome feedback about our Platform and courses. If you provide NGL with any suggestions, ideas, or feedback (“Feedback”), you agree that we may use it without restriction or compensation to you, and you waive any claim to ownership of such Feedback. This helps us improve our offerings.

4. Acceptable Use Policy

When using our Platform, you must comply with the following Acceptable Use Policy. These rules are important to ensure the security and integrity of our services and a positive experience for all users. By using the Service, you agree NOT to:

Break the Law: Do not use the Platform for any purpose that is illegal or prohibited by local, state, national, or international laws. You must abide by all export controls and sanctions rules as well; for example, you should not use the Platform if you are in a country embargoed by South Africa or other applicable jurisdictions, and you should not provide content that violates export laws. NGL reserves the right to decline, suspend, or terminate enrolment and access where required by such regulations.

Harass or Harm Others: Do not harass, threaten, bully, stalk, or intentionally embarrass any other user or NGL staff member. This also means you must not incite hatred or violence against any individual or group. Treat everyone on the Platform with respect and professionalism.

Post Inappropriate/Illicit Content: Do not upload or share content that is defamatory, obscene, child exploitative, extremist, or otherwise objectionable. Do not share content that promotes cheating (like providing answers to assessments dishonestly) or any activity that violates academic integrity. Also, do not post any material that contains software viruses or any other computer code designed to interfere with the functionality of the Platform or gain unauthorised access to it.

Infringe Rights: Do not use the Platform to violate intellectual property rights. This means you must not share copyrighted materials of others without permission, nor engage in unauthorised sharing of course materials (as detailed above). Also, do not misappropriate anyone’s confidential or personal data.

Tamper with Security or Operations: Do not attempt to interfere with the normal operation of the Platform or any other user’s use and enjoyment of it. This includes: no introducing of malware (viruses, worms, Trojan horses, spyware, etc.); no performing attacks like denial of service; and no tampering with or circumventing any security features. You also agree not to use any automated means (scripts, bots, crawlers) to access or extract data from the Platform without our permission. Such activities can compromise the service for everyone and are strictly forbidden.

Unauthorised Access: Do not attempt to gain unauthorised access to any portion or feature of the Platform, or any other systems or networks connected to the Platform (such as by hacking, password “mining”, or any other illegitimate means). Similarly, do not use another user’s account or let someone else use yours. Impersonation or misrepresentation of your affiliation with any person or entity is prohibited.

Commercial or Political Use: The Platform is for educational use. Do not use it to advertise or sell products/services to others (except as allowed in specific networking contexts facilitated by NGL). Also, do not use the forums or communications to promote partisan political agendas or campaigns – our focus is on learning, and we want to avoid spam or unrelated solicitations.

Resell or Misuse Services: You agree not to reproduce, duplicate, copy, sell, trade, or resell any portion of the Platform or access to the Platform for any commercial purpose. This includes not selling assignments or answers, not trading access codes, etc. Do not scrape or harvest content or information from the Platform, either manually or with automated software, for any external use.

Masking Location (Legal Compliance): If certain content is restricted in your region (due to legal reasons or our licensing agreements), do not use VPNs or proxies to bypass those restrictions in violation of law. You are responsible for complying with local laws when accessing content – for instance, if some course content is not allowed in your country, you should not attempt to access it illegally.

This list of prohibitions is not exhaustive. In short, use common sense and respect: do not do anything on the Platform that a reasonable person would consider harmful, unethical, or outside the intended use of the Service. If you’re not sure whether something is allowed, please ask us or err on the side of caution. NGL reserves the right to investigate and take appropriate legal action against anyone who, in our judgment, violates this Acceptable Use Policy, including removing offending content, suspending or terminating accounts, and reporting to law enforcement where applicable.

Accessibility, Inclusion, and Non-Discrimination

NGL is committed to providing equal access to all learners and to maintaining an environment free from discrimination or bias of any kind. We welcome participants regardless of disability, gender, race, ethnicity, age, religion, or other protected characteristic, and we design our programmes to support equitable participation in compliance with the Americans with Disabilities Act (ADA) Title III, the U.K. Equality Act 2010, and other applicable laws.

Current Accessibility Standards
Our digital learning environment is designed to align with the principles of the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. While not every feature may yet meet these standards, we are actively improving accessibility and welcome feedback.

Accommodation Requests
Participants who need an accommodation or alternative format (for example, captions, transcripts, or extended time) may contact us at support@nxgl.ai. Requests will be reviewed promptly, and reasonable steps will be taken to provide effective access without undue delay or cost.

Feedback and Reporting
If you encounter any accessibility barrier or experience bias or discrimination in any part of our programmes, please notify us through the same contact email so we can address the issue. NGL documents all requests and remedial actions to ensure continuous improvement.

5.  AI Tutor and Interactive Tools

NGL’s Platform may include interactive learning tools such as the AI Tutor (“Paski”) and possibly other automated quiz or chat features. These tools are provided to enhance your learning experience. By using them, you agree to the following special terms:

Proper Use: The AI Tutor is there to answer content-related questions, explain concepts, and guide you through material. You should use it in a manner consistent with the course objectives. Do not deliberately ask the AI Tutor for inappropriate content (e.g., hate speech, illicit activities, etc.), and do not input personal data that is highly sensitive. You are responsible for what you prompt or instruct the AI to do. If you misuse the AI tool (for instance, trying to get answers for graded assignments in a way that violates course rules, or attempting to get it to generate disallowed content), that will be considered a violation of the Acceptable Use Policy. We also ask that you not rely on the AI Tutor for anything outside the scope of the course or for professional advice, as noted in the disclaimers.

AI Outputs: You understand that the AI Tutor generates responses based on patterns in data and may not always be accurate or reliable. Its answers should be double-checked against course materials or other sources. If the AI provides an answer, you should critically evaluate it. If something looks incorrect or unclear, you can flag it to instructors or attempt further research. Do not treat AI outputs as gospel. Particularly, do not use an AI-provided answer as your final submission for any assignment unless you have verified it and the assignment permits AI assistance. Many courses treat AI like an open-book resource: you can use it to learn, but directly copying answers may be treated as plagiarism or cheating unless explicitly allowed.

No Guarantee of Availability: The AI Tutor feature is experimental and provided on an “as available” basis. We strive for high uptime, but it may occasionally be offline for maintenance or due to technical issues. NGL is not liable for any inconvenience or learning disruptions if the AI tool is unavailable or slow.

Data and Monitoring: Interactions with the AI Tutor may be logged by NGL to improve our services and the AI’s quality. This could include recording your questions and the AI’s answers. We will treat these logs as confidential educational data, but we might analyse them in aggregate (or review specific cases) to refine the AI or investigate any misuse. By using the AI Tutor, you consent to this use of your inputs for service improvement. Additionally, we might share data with the AI service provider (if it’s powered by a third-party AI engine) as needed to generate responses; we will ensure any such sharing is covered by a proper data processing agreement.

AI Limitations Acknowledgment: You explicitly acknowledge the limitations of generative AI. The AI might sometimes produce “hallucinations” (plausible-sounding but incorrect info) or might not understand your question fully. If you find that the AI’s response is clearly wrong or problematic, try re-phrasing your question or ask a human. We encourage users to not rely on the AI Tutor for critical or personal decisions. For example, if a course were to allow questions about career or finance, treat the AI’s input as just one perspective and verify with real-world information or professionals.

NGL may update these AI-related terms as the technology and our implementation evolve. We welcome feedback on your AI Tutor experience so we can make it more effective for learning.

6. Platform Availability and Technical Support

We aim to provide a reliable and accessible Platform, but we do not guarantee that the Service will be available 100% of the time. There may be scheduled maintenance periods, as well as unscheduled outages due to technical issues. NGL will try to schedule maintenance during low-usage hours and will inform users in advance via the Platform or email whenever possible. However, emergency maintenance or downtime may occur without notice.

NGL is not liable for any delay or failure of the Platform resulting from causes outside our reasonable control, such as internet disruptions, hosting provider outages, power failures, or force majeure events (e.g., natural disasters, acts of government, widespread cyber attacks). We will do our best to restore service as soon as feasible in such cases.

For technical support, you may contact our support team (support@nxgl.ai). We typically provide support via email or an online helpdesk. Support covers issues like login problems, access to materials, or reporting bugs. We endeavor to respond promptly (usually within 1 business day). Note that support is generally provided in English.

You are responsible for having the necessary equipment and internet access to use the Platform (computer or mobile device, up-to-date browser, stable internet connection). We may list recommended technical requirements for courses (e.g., certain software or minimum bandwidth). Failure to meet these may affect your experience, and that is outside NGL’s responsibility. We do not provide ISP services, and any connectivity issues on your side should be resolved with your internet provider.

7. Termination and Suspension

By User: You are free to stop using the Platform at any time. If you wish to delete your account entirely, you may contact us with a request (note that deletion is subject to certain limitations if you are currently enrolled in a course, as we need to maintain records of course completions, etc.). Keep in mind that leaving a course or deleting your account may result in loss of access to Course Materials or progress, so ensure you have resolved any needed outcomes (like downloading your certificate, if eligible) before doing so.

By NGL: We reserve the right to suspend or terminate your access to the Platform (in whole or in part) under the following circumstances: (a) if you violate any of these Terms of Use or the Terms of Sale or any other policy in a serious way; (b) if you repeatedly infringe intellectual property rights or engage in prohibited conduct even after warnings; (c) if required by law enforcement or government order; (d) if unexpected technical or security issues occur; or (e) if we decide to discontinue the Platform or a particular service entirely. We will attempt to notify you (via email or on login) of any such action, explaining the reason and whether it’s a temporary suspension or permanent termination, except when we are legally prevented from doing so or if immediate action is required by urgent circumstances.

If your account is terminated or suspended due to a breach of these Terms, you may not be entitled to any refund for any courses or services you have paid for (especially if you were removed for misconduct). NGL shall have no liability to you for any termination of your account or loss of access to your User Content due to your violation of these Terms.

Effect of Termination: Upon any termination of your account, whether by you or us, your right to access the Platform will cease. We may immediately deactivate or delete your account and all associated materials, and bar any further access to such files. However, certain provisions of these Terms will survive termination. For example, all provisions concerning intellectual property rights, disclaimers of warranty, limitation of liability, dispute resolution, and general provisions shall survive and continue to apply even after your use of the Platform ends. NGL also may retain certain information as required by law or for legitimate business purposes (such as maintaining academic records of course completion). Where we terminate an offering or your account in its entirety, we may provide you with a data export of your user content (if feasible), but this is not guaranteed except where required by law.

Course or Service Discontinuation: Separately, NGL reserves the right to discontinue or alter the Platform (or any part of it, such as a feature or tool) at any time. We are constantly improving and evolving our services, so we might add or remove features. If we discontinue the Platform or a significant feature, we will give users advance notice when possible. If a course in which you are enrolled is affected by such a change, we will work to mitigate any impact (for example, if we shut down a forum tool, we might provide an alternative for the remainder of the course). NGL will not be liable for any compensation due to such changes beyond, potentially, refunding fees for undelivered services.

8. Disclaimers (No Warranty)

Use of the NGL Platform is at your own risk. While we hope to meet your expectations, NGL makes no guarantees or warranties of any kind regarding the Service. To reiterate and supplement the disclaimers stated in the Terms of Sale:

“As Is” Basis: The Platform and all its content (including Course Materials, software, and User Content) are provided “AS IS” and “AS AVAILABLE”, without warranty of any kind. NGL, its partners (including any universities), and its suppliers disclaim all warranties or conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will meet your requirements or that results will be accurate or reliable.

No Guarantee of Results: You acknowledge that taking a course through NGL does not guarantee any particular outcome. NGL does not warrant or promise that you will obtain any specific knowledge, skill, job, grade, certification, or other result. Any career or educational decisions you make should be done with caution and not based solely on participation in our Platform. Testimonials or past success stories on our site are individual and not guarantees of general outcomes.

Service Availability and Errors: NGL does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. We do not guarantee that any defects or bugs will be corrected. Although we strive to keep content updated, we make no warranty that any course content is complete or up-to-date. For example, a course on a fast-changing topic might not immediately incorporate the very latest research (though instructors will do their best).

Data Loss or System Harm: We are not responsible for any damage to your computer system, loss of data, or any other harm that results from your access to the Platform or any content. You should use your own security software and backup measures. While we make efforts to secure our Platform, we cannot guarantee that downloadable files or content are free from viruses or contamination.

Third-Party Services: Any third-party services or content (including the AI engine provider, if applicable, or video conferencing tools) are provided without any warranty from NGL. We do not endorse or assume responsibility for any third-party websites or resources that might be linked in the Platform. If you access them, you do so at your own risk.

Beta Features: If NGL releases features labeled as “beta” or “preview,” those are experimental and provided “as is” without expectation of full functionality or support.

Jurisdictional Caveats: Some jurisdictions do not allow the exclusion of certain warranties. If you are subject to such laws, some of the above exclusions may not fully apply to you. In that case, our warranties are limited to the minimum warranty period or scope allowed by applicable law.

9. Limitation of Liability (Platform Use)

This section limits the liabilities that NGL and related parties may have to you under these Platform Terms, as allowed by law. The term “NGL Parties” below includes NGL, its officers, directors, employees, agents, affiliates, partners (including universities), contractors, and licensors.

Indirect Damages: To the maximum extent permitted by law, the NGL Parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Platform. This exclusion applies regardless of the theory of liability (contract, tort, negligence, strict liability, etc.), and even if we have been advised of the possibility of such damages. For example, we won’t be liable if a technical issue on the Platform causes you to miss a submission and you claim lost potential income, or if an error in content causes you some indirect harm.

Direct Damages Cap: To the fullest extent permitted by law, the aggregate liability of the NGL Parties for any and all claims arising from the Platform or these Terms **will not exceed the total amount (if any) you have paid to NGL for access to the Platform or courses in the 12 months prior to the event giving rise to liability. If you have not paid NGL any amount (for example, you only used free portions of the site), then NGL’s liability to you shall be zero in all cases. This cap is cumulative – meaning it applies to the total of all claims, not per incident.

Exceptions: The above limitations and exclusions of liability will not apply to the extent prohibited by applicable law. Certain jurisdictions do not allow the exclusion of incidental or consequential damages, so the above exclusion or the direct damages cap may not apply to you fully. Also, any liability arising from NGL’s willful misconduct or fraud, or injury to person or property caused by our gross negligence, may not be limited by these terms if local law forbids it. In addition, the liability limitations in these Platform Terms are not intended to restrict any liability we may have under the Terms of Sale for matters specifically covered there (for instance, refund obligations or similar consumer remedies might be addressed separately).

Educational Purposes Only: You acknowledge that your use of the Platform is primarily for education and that NGL cannot be held liable for decisions you make in your life or business based on what you learned. In any event, if some part of this liability limitation is unenforceable, the rest still applies to the extent it can.

Risk Allocation: The pricing (including free content) and operation of the Platform is based on these liability limitations. You accept that these limitations of liability reflect a reasonable allocation of risk between you and us. Each provision of this Agreement that provides for a limitation of liability, disclaimer of warranty, or exclusion of damages is intended to allocate the risks between the parties. This allocation is an essential element of the basis of the bargain between you and NGL. The limitations in this section will apply even if any limited remedy fails of its essential purpose.

10. Governing Law and Dispute Resolution

The provisions regarding Governing Law and Dispute Resolution apply to these Platform Terms and your use of the Platform. In summary, and as detailed earlier: these terms are governed by South African law, and we encourage amicable resolution of disputes. You agree to the jurisdiction of South African courts for resolving any disputes that may arise, unless an alternate dispute resolution mechanism (like arbitration) is mutually agreed or required by applicable law. 

If a dispute arises specifically out of Platform usage (and not a specific course purchase issue), the same process applies: please contact us, attempt to resolve, and if needed, proceed under the same forum selection and jurisdiction terms. Any claim under these Platform Terms must be brought within one year after the cause of action arises, otherwise it is barred (this limitations period will not apply where prohibited by law).

11. Changes to Platform Terms

NGL may modify these Terms and Conditions of Platform Use from time to time. When we make changes, we will update the “Last Updated” date at the bottom of this document and, for substantial changes, we will notify users via email or a prominent notice on the Platform. It is your responsibility to review these Terms periodically. By continuing to use the Platform after changes are posted, you accept and agree to the updated terms. If you do not agree with a change, you should stop using the Platform and, if necessary, request account deletion.

Any changes will not retroactively modify the dispute resolution clause for pending disputes unless you expressly agree. For users enrolled in a course at the time of a terms update, if the changes materially affect usage during your course, we will endeavor to clarify the changes’ impact in the course context or provide an opportunity to accept the new terms (for example, via a click-through) before continuing.

12. Miscellaneous (General Provisions)

No Agency: Using the NGL Platform or taking a course does not make you an employee, agent, joint venturer, or partner of NGL or any university. You are participating as an independent individual for your own learning. Neither party has authority to bind the other in any respect.

Third-Party Beneficiaries: University partners who provide courses via NGL are intended third-party beneficiaries of these Terms of Use (and may enforce provisions related to their intellectual property and disclaimers of liability). Aside from that, these Terms do not confer any third-party beneficiary rights; they are between you and NGL.

Severability: If any provision of these Platform Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.

No Waiver: NGL’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver is only effective if in writing and signed by an authorised NGL representative.

Assignment: NGL may assign or transfer these Terms (in whole or part) to an affiliate or as part of a merger, acquisition, or sale of assets. We will notify you if such a change occurs affecting your rights. You may not assign or transfer your rights or obligations under these Terms to anyone else without NGL’s prior written consent. Any attempted assignment without consent is void.

Headings: Section headings in this agreement are for convenience only and have no legal effect.

You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these terms.
